GENERAL TERMS AND CONDITIONS OF USE AND CONTRACTING

VENDISIO

  1. Purpose

These General Terms and Conditions of Use and Contracting (hereinafter, the Terms and Conditions) govern access to, browsing and use of the website www.vendisio.com, as well as the contracting of services offered through the Vendisio platform (hereinafter, the Platform).

Access to the Platform and/or the contracting of any service confers the status of User, implying full, express and unreserved acceptance of these Terms and Conditions in the version in force at the time of access or contracting.

  1. Identification of the service provider

The full legal, corporate and contact details of the entity operating the Platform are permanently available in the Legal Notice and Privacy Policy, accessible at:

  1. Types of users

The Platform distinguishes the following categories of users:

  • Visitors, accessing general informational content;
  • Sellers, entrepreneurs or companies publishing business-for-sale listings;
  • Buyers, investors, companies or professionals interested in acquiring businesses;
  • Agents or intermediaries, duly registered external brokers.

Access to certain functionalities of the Platform, including viewing full listings, contacting other users or contracting services, requires mandatory prior registration.

  1. User registration and account

To register, the User must provide accurate, complete and up-to-date information and shall be solely responsible for the accuracy thereof and for safeguarding their access credentials.

During the registration process, the User must expressly accept these Terms and Conditions through a specific validation mechanism, failing which registration cannot be completed.

Vendisio reserves the right to verify Users’ identity, including validation of email address, telephone number or any other means deemed appropriate, in order to prevent fraudulent or unlawful use of the Platform.

  1. Nature of the service

Vendisio acts exclusively as a technological platform or marketplace, the purpose of which is to facilitate contact between Sellers and Buyers through the publication of business-for-sale listings.

Under no circumstances does Vendisio:

  • Guarantee the sale or acquisition of any business;
  • Guarantee a minimum number of contacts or expressions of interest;
  • Intervene in negotiations between the parties;
  • Act as a commercial intermediary, agent, representative or advisor.

Any agreement, negotiation or transaction arising from contact between Users shall be the sole responsibility of the parties involved.

  1. Services offered

Through the Platform, Vendisio offers, among others, the following services:

  • Publication of business-for-sale listings;
  • Featured or premium listings;
  • AI-assisted drafting of listings;
  • Human review and supervision;
  • Indicative, non-binding business valuations;
  • Dissemination of listings to a network of registered buyers;
  • Services specifically designed for brokers;
  • One-off service packs or subscriptions for buyers.

The specific characteristics, scope and price of each service are detailed on the Platform at the time of contracting.

  1. Duration of services and contractual term

7.1 Sellers (sale listings)

The contracting of a sale listing shall have an initial duration of one (1) year, calculated from the date of publication of the listing on the Platform.

The Seller may request early removal of the listing at any time during such period, without entitlement to any refund of amounts already paid.

Upon expiry of the initial one-year period, Vendisio shall contact the Seller to confirm whether the business has been sold.

  • If the business has been sold, the listing shall be removed from the Platform.
  • If the business has not been sold, the listing shall be automatically extended for successive periods of equal duration, at no additional cost, unless the Seller expressly requests its removal.

7.2 Agents or intermediaries (brokers)

Services contracted by Brokers shall have an annual duration, in accordance with the conditions accepted at the time of contracting, and shall not be automatically renewed.

Payment may be made on an annual or monthly basis, depending on the option selected when contracting the service.

7.3 Buyers

Services contracted by Buyers may consist of:

  • One-off payment packs, or
  • Subscriptions,

the duration and conditions of which shall depend on the specific service contracted.

  1. Prices and payment terms

All prices are stated in euros and exclude VAT and any other applicable taxes, unless expressly stated otherwise.

Payment for services must be made in advance of the commencement of the service, using the payment methods made available on the Platform.

Vendisio reserves the right to modify prices and payment conditions at any time, without affecting services already contracted.

  1. Commencement of the service and right of withdrawal

Pursuant to Article 103(m) of Spanish Royal Legislative Decree 1/2007, the right of withdrawal shall not apply to digital services once their execution has begun.

The service shall be deemed to have commenced:

  • For Sellers, once the information required for drafting, preparing or publishing the listing has been submitted;
  • For Buyers, once identity verification has been completed and, where applicable, payment has been made.

Prior to contracting, the User expressly authorises the immediate commencement of the service and acknowledges that, once execution has begun, they lose their right of withdrawal in relation to that service.

  1. Listing content and liability

The content of listings published on the Platform shall be the sole responsibility of the Seller.

Vendisio drafts listings based on the information provided by the Seller and publishes them only after the Seller’s express approval.

Vendisio does not verify or guarantee the accuracy, truthfulness or lawfulness of the information provided, without prejudice to the legal obligations applicable to it as an information society service provider.

  1. Liability under Information Society Services regulations

Vendisio acts as an information society service provider within the meaning of Law 34/2002 on Information Society Services and Electronic Commerce and limits its liability in accordance with said legislation with respect to content hosted at the request of Users.

Vendisio has no general obligation to monitor content or to actively seek facts or circumstances indicating unlawful activity. However, Vendisio shall act with the legally required diligence to remove or disable access to content once it has effective knowledge of its unlawfulness.

  1. Confidentiality and contact between users

Listings are published in a blind format, without directly identifying information.

Initial contact between Buyers and Sellers shall take place through the contact and filtering systems provided by Vendisio.

Once such contact has been accepted by the Seller, the parties shall be free to communicate with each other by any means they deem appropriate, without Vendisio’s involvement or liability.

Vendisio recommends, without obligation, that initial communications be conducted through the Platform.

  1. User obligations and prohibited uses

The use of the Platform for fraudulent or unlawful purposes, identity impersonation, unsolicited communications, or any attempt at fraud or phishing is strictly prohibited.

Vendisio reserves the right to report such conduct to the competent authorities.

  1. Powers of Vendisio

Vendisio may, at its sole discretion, suspend or terminate User accounts, modify or remove listings, or restrict access to the Platform where there is a serious or repeated breach of these Terms and Conditions, applicable law or principles of good faith.

  1. Intellectual and industrial property

All intellectual and industrial property rights relating to the Platform, including its software, structure, databases, content, trademarks and distinctive signs, are the exclusive property of Vendisio.

Use of the Platform does not imply any transfer of rights to the User, other than a limited, non-exclusive and revocable right of use.

  1. Licence for generated content

Content generated by Vendisio is made available to the User under a non-exclusive and limited licence, solely for the purpose for which it was contracted.

  1. Account termination

The suspension or termination of User accounts shall be governed by Section 14 above, without entitlement to any refund for services already commenced or provided.

  1. Partial invalidity

Should any provision of these Terms and Conditions be declared null, invalid or unenforceable, in whole or in part, such invalidity shall not affect the validity of the remaining provisions, which shall remain fully in force.

The affected provision shall be replaced, insofar as possible, by another provision that most closely reflects the original economic and legal intent.

  1. Governing law and jurisdiction

These Terms and Conditions shall be governed by Spanish law.

Any dispute shall be submitted to the Courts of Madrid, without prejudice to mandatory consumer protection rules where applicable.

  1. Language

These Terms and Conditions have been drafted in Spanish.
Translations are provided for informational purposes only.
In the event of any discrepancy, the Spanish version shall prevail.
